Well ain’t this a kick in the pants.

ShopHQ’s deal to be acquired by broadcaster RNN for $50 million fell through, but another buyer stepped up.

Last week the beleaguered home shopping network said that RNN, which was slated to purchase it out of bankruptcy, had terminated that deal. And alternative buyer stepped up.

IV Media — which is owned by the billionaire founder of 5-Hour Energy drink, Manoj Bhargava — is purchasing ShopHQ as one of several media acquisitions some of Bhargava’s companies have made recently. The sale price was $55 millon.

MINNEAPOLIS–(BUSINESS WIRE)–Global media company iMedia Brands, Inc. (the “Company” or “iMedia”) (OTC: IMBIQ) today announced that it has successfully closed its Asset and Equity Purchase Agreement (“AEPA”) with IV Media, LLC (“IV Media”), a subsidiary of Innovation Ventures, LLC, the producer and distributor of 5-hour ENERGY shots.

Through the AEPA, IV Media has acquired substantially all assets of iMedia Brands on a going-concern basis, including its ShopHQ Networks, 1-2-3.tv, iMDS, J.W. Hulme, and Christopher & Banks businesses for approximately $55 million of transaction value, plus the assumption of certain liabilities, contracts, and ongoing expenses.

    Your company has just laid off 400 people. Some of your customers complained — a bit meanly, admittedly — that you should have been canned. For one, they complained that they were sick of your talking about your daughters on-air.

    So what do you do? You threaten your audience. You threaten your customers. You threaten your shoppers.

    We guess some would call it a veiled threat. We mean, QVC host Jane Treacy really doesn’t have her eyes on you. But for the love of God, if we were management at Qurate Retail, owner of QVC and HSN, we’d can her. And we have never said that in a blog in our lives.

    What are we talking about? We didn’t see it ourselves, but we heard from people who had. And we give credit and props to forum Primetimer Sales Prevention Team, which offered the best account of what happened — with pictures that say a thousand words.

    The layoffs at QVC and HSN included several popular hosts, including Carolyn Gracie, Dan Hughes, Shannon Smith and Shannon Fox. That sparked a flood of anger, and the threat of a boycott, from their fans. And on various home shopping forums and this blog, people said Treacy should have been given her walking papers instead, with viewers saying they didn’t want to hear the host always bragging about her grown daughters’ accomplishments.

    Guess Treacy wasn’t going to take that lying down. She alluded to it on a “50 and Fabulous” show last week.

    With only a few months to go before getting her shot at the title ‘Mrs. America,’ Heather Hall faced an important deadline.

    She needed to find the perfect evening gown.

    Hall, the newly crowned Mrs. Minnesota, was prepared to flip through hundreds of dresses on a Wednesday morning last month at The Pageant Shop by Michael’s in New Brighton.

    She booked an hourlong appointment. It took all of 10 seconds.

    “Oh, my gosh! This is the one! This is amazing! I love the color!” Hall said.

    The winner was a $3,600 strapless sapphire number featuring a sweetheart neckline, “Aurora Borealis” Swarovski crystals and a slit up the left side.

    “Usually a fitted dress like this goes hippy on me, but this does not,” said Hall, who is 5 feet 10 inches tall and weighs 125 pounds. “It makes me look hourglass. It makes me feel pretty.”

    Good things happen when Hall, a model and mother of three, wears sapphire.

    “I have a shirt this color. I have worn it to two auditions, and I got both commercials. It’s an HM shirt, and it was $6. I just really love this color.”

    Her pageant coach and shopping partner, Holly Ernst, said the gown had “Mrs. America” written all over it.

    “I always ask, ‘Could you imagine someone crowning a girl wearing this dress?’ And that is a Mrs. America dress to me,” Ernst said. “This is an outstanding dress. I think you’re going to have a real hard time beating this dress. Here’s what I love: I love the color. It’s a gorgeous color. I think you would be crazy to do a different color than this. It’s so different. But different good, not different weird.”

    Hall, 35, tried on a dozen other gowns that shop owner Sarah Moses had flown in for the shopping spree. But none came close to the sapphire gown.
